Terms of Use

These Terms of Use (the “Terms”) set forth the conditions governing use of the websites, mobile applications, software, products, and related services (collectively, the “Services”) provided by CONCEPT PROTO Inc. (“we,” “us,” or “our”).

By using the Services, users agree to these Terms and our Privacy Policy.

1. Services

We provide hardware, software, mobile applications, web services, and other products and services.

Separate terms, specifications, notices, warranty conditions, or other provisions (“Specific Terms”) may apply to individual products or Services.

If Specific Terms conflict with these Terms, the Specific Terms will prevail with respect to the relevant product or Service unless otherwise stated in the Specific Terms.

2. Use of the Services

Users must use the Services in accordance with these Terms, any applicable Specific Terms, and applicable laws and regulations.

Unless otherwise expressly stated, users are responsible for obtaining and paying for the devices, communications environment, Internet access, compatible equipment, and other environment necessary to use the Services.

3. Accounts

Where we provide account functionality, users must provide accurate and current information.

Users are responsible for appropriately managing their accounts and authentication credentials and for preventing unauthorized use by third parties.

Users must promptly contact us if they discover unauthorized use or a security issue.

4. Purchases of Products and Services

When users purchase our products or paid Services, prices, shipping charges, taxes, payment methods, delivery conditions, and other purchase terms are governed by the conditions displayed at the time of purchase or by applicable Specific Terms.

We may refuse or cancel an order where there is insufficient inventory, an error in pricing or product information, fraudulent or suspected fraudulent activity, or another reasonable basis.

Payment processing may be provided by a third-party payment service provider.

5. Subscriptions and Other Continuing Services

If we provide subscriptions or other continuing paid Services, fees, billing cycles, renewal conditions, and cancellation procedures will be governed by the conditions presented when the relevant Service is ordered.

This section does not constitute a commitment to provide any type of continuing Service that we do not currently offer.

6. Returns, Refunds, and Warranties

Returns, exchanges, refunds, and warranties for physical products are governed by applicable law and by the sales terms, warranty conditions, or other Specific Terms presented at the time of purchase.

For Services purchased through an app store or another third-party platform, the refund and other policies of that platform may apply.

7. Prohibited Conduct

Users must not:

  • - Violate applicable laws, regulations, or public order and morals
  • - Infringe the rights of us or any third party
  • - Interfere with the normal operation of the Services or related
  • systems, networks, or equipment

  • - Attempt unauthorized access
  • - Transmit malware or other harmful programs or data
  • - Circumvent or disable security features of the Services
  • - Impersonate us or any third party
  • - Use the Services for unlawful, fraudulent, or harmful purposes
  • - Engage in any other conduct that causes damage to us or a third
  • party

8. Intellectual Property

Copyrights, trademarks, patents, and other intellectual property rights relating to the Services, our products, software, websites, text, images, videos, logos, designs, programs, and other content provided by us belong to us or their respective lawful owners.

These Terms do not transfer any intellectual property rights of us or any third party to users.

Users may not reproduce, modify, distribute, sell, or otherwise use such materials beyond the extent permitted by law or expressly authorized by us.

9. Software and Applications

For software and applications provided by us, we grant users a non-exclusive and non-transferable right to use them solely for the purpose of using the Services.

Except where permitted by applicable law, users must not unlawfully copy, modify, redistribute, reverse engineer, or otherwise use the software in a manner that infringes the rights of us or any third party.

Where open-source software or other third-party licenses apply to any portion of the software, the applicable license terms will prevail for that portion.

10. Measurements and Use of Products

Times, positions, distances, speeds, and other measurements or analytical results provided by our products or Services may contain errors or delays resulting from the operating environment, communications environment, device, sensors, method of operation, or other factors.

Users must use each product with an understanding of its specifications and intended purpose.

Unless we expressly provide otherwise for a particular product, we do not warrant that measurements or analytical results provided by the Services are suitable for official competition records, legal proof, safety management, decisions materially affecting life or physical safety, or any other particular purpose.

11. Third-Party Services

The Services may integrate with or contain links to websites, app stores, cloud services, payment services, or other services provided by third parties.

Use of third-party services is subject to the terms of use and privacy policies of the relevant third parties.

Except where attributable to us, we are not responsible for the content, availability, or practices of third-party services.

12. Changes, Suspension, and Termination of the Services

We may change, suspend, or discontinue all or part of the Services for improvement, maintenance, technical or business needs, compliance with law, or other reasonable reasons.

Where reasonably practicable, we will endeavor to provide advance notice of material changes.

13. Warranties and Disclaimers

Except to the extent required by applicable law or expressly warranted by us, we do not warrant that the Services will always be uninterrupted, completely error-free, or suitable for a user’s particular purpose.

To the extent permitted by law, we are not responsible for losses caused by communication failures, device or equipment failures, radio conditions, GPS/GNSS or other satellite positioning conditions, Bluetooth or other wireless communication conditions, failures of third-party services, or other circumstances beyond our reasonable control.

Nothing in this section limits rights users may have under mandatory consumer protection laws or other mandatory provisions of applicable law.

14. Limitation of Liability

Where we are liable to a user for damages in connection with the Services, our liability will, except in cases of willful misconduct, gross negligence, or other circumstances in which limitation is not permitted by law, be limited to ordinary and direct damages.

To the extent permitted by applicable law, our aggregate liability will not exceed the amount paid to us by the user for the product or Service giving rise to the damages.

15. Suspension of Use

If a user violates these Terms or applicable law, or materially affects the security or normal operation of the Services, we may restrict or suspend the user’s use of the Services to the extent necessary.

16. Privacy

Our handling of user information is governed by our Privacy Policy.

17. Changes to These Terms

We may amend these Terms where reasonably necessary due to changes in law, changes to the Services, additions of new products, functions, or Services, or other circumstances.

If we make material changes, we will notify users by displaying notice within the Services or by another appropriate method depending on the nature of the change.

The amended Terms become effective when posted on this page or at another time separately specified by us.

18. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan.

Any dispute arising out of or relating to the Services or these Terms will, unless otherwise required by applicable law, be subject to the exclusive jurisdiction of the court of first instance having jurisdiction over the location of our head office in Japan.

19. Severability

If any provision of these Terms is held invalid or unenforceable by a court or other competent authority, the remaining provisions will remain in full force and effect.
